UniGrat is a commerce infrastructure platform that enables businesses to fund rewards and sales incentives tied to real economic activity.

Consumer accounts (person):
Only businesses that operate legally and in compliance with applicable laws may use the platform as vendors. Businesses must be properly registered where registration is required by law in their jurisdiction(s).
All businesses must comply with laws and regulations applicable to their industry and location. Activities not permitted by government or regulation are prohibited on the platform.
Vendor sub-accounts (team members): A vendor may have multiple users (team members) managing the same business. Only the account owner may change the business's VAT number and business registration number; team members cannot edit these fields. This ensures one legal entity per business and prevents misuse of shared credentials.
Vendor account lifecycle:
Pending Status: All rewards start in Pending status. This means:
7-Day Review Period: Both vendors and users have 7 calendar days to:
Lock-In on Day 8: After 7 days, pending amounts become billable to vendors and rewards are finalized.
Loyalty rewards are granted by businesses to customers for engagement, repeat usage, or continued relationship.
Sales rewards are granted for successful introductions that result in verified attendance, engagement, or transactions.
If you are connected to a referral network, 15% of all rewards is automatically allocated to your network uplines. This rule:
Example: If you earn a $10 reward and have upline referrers, $1.50 (15%) is shared with your uplines and you keep $8.50. If you have no upline referrers, you keep the full $10.00.
When generating a QR code for a vendor transaction, you may declare which introducer referred you to that specific vendor. This referral relationship:
First-Declared Rule: If you've already transacted with a vendor, you cannot declare a new referrer. Only the first introducer declared for a specific vendor will receive referral rewards.
Rewards may be used only after reaching $10 minimum balance.

UniGrat-Initiated Suspension: UniGrat reserves the right to suspend or terminate your account if:
Important: Rewards are NOT owed until paid out. UniGrat may suspend accounts without payout if abuse is detected. Account suspension may result in loss of pending rewards and access to the platform.
User-Initiated Account Cancellation: You may cancel your account at any time, subject to the following requirements:

UniGrat may deduct applicable fees before distribution, including:
Fees vary by jurisdiction and payment method. You will be notified of applicable fees before transactions are processed.
UniGrat offers three vendor plans, all of which grant the same feature access — vendor profile, services and pricing menu, customer booking flow, event tickets, the UniGrat kids book store, and in-house rewards / affiliate commissions. The plans differ in the amount of media storage and included SMS per month.
Included storage, SMS allowance, and target monthly price per plan:
Storage caps apply to files uploaded to your vendor profile (images, video, menu assets, etc.). A soft warning is shown when 90 % of the cap is reached and new uploads are blocked at 100 %; files already stored remain accessible. Vendors may change plan at any time.
The monthly SMS allowance covers messages sent and received through the UniGrat platform (for example, booking reminders and verification codes). Unused allowance does not roll over to the next month. Once the allowance is exhausted — or if a vendor prefers to decouple SMS from the plan — extra SMS credit is available as a pay-as-you-go top-up paid through Mollie at the per-message rate shown in the vendor dashboard and on the UniGrat Services page.
Some vendors may have been grandfathered on legacy plans (Free, Starter, Availability Only, Full Booking) during the platform's transition. Legacy vendors retain their feature access and will be migrated to one of the three new plans; they will not lose any entitlement as part of the migration.
Vendors may contact customers via their own phone at any time; the SMS allowance and any Mollie top-up apply only to messages sent and received through the UniGrat platform.
UniGrat does not guarantee that rewards will be earned, confirmed, or available for use. Rewards depend on vendor participation, confirmation, and payment. The platform acts as a neutral technology provider and does not arbitrate private disputes unless legally required.
You are responsible for determining and paying any taxes that may apply to rewards or payouts in your jurisdiction.
To the maximum extent permitted by law, UniGrat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
UniGrat reserves the right to modify these Terms & Conditions at any time. Material changes will be notified to users via email or platform notification. Continued use of the platform after changes constitutes acceptance of the modified terms.
Rewards issued on the UniGrat platform do NOT constitute "electronic money" as defined under Directive 2009/110/EC (the "E-Money Directive").
Rewards do not represent a monetary value, stored value, or a claim against UniGrat or any third party and are not redeemable at par value.
Rewards are usable only within a closed-loop system for specific, predefined purposes, namely the payment of essential bills or services offered by whitelisted companies approved by UniGrat.
Rewards are not generally accepted as a means of payment by the public and may not be used outside the UniGrat platform or with non-whitelisted entities.
Rewards are not issued in exchange for funds paid by users and are not issued upon receipt of money for the purpose of enabling payment transactions.
Rewards are issued as business-funded incentives and discounts, not as a payment instrument, electronic money, or stored value facility.
Except as expressly permitted (UniGrat-owned or UniGrat-operated companies with cash payouts enabled), rewards may not be redeemed for cash or cash equivalents.
Rewards are intended to operate as directed bill credits or discounts and not as electronic money, payment services, or financial instruments.
These Terms & Conditions are governed by and construed in accordance with applicable laws. Any disputes shall be resolved through appropriate legal channels.
