By using UniGrat, you agree to be bound by these Terms & Conditions. Please read them carefully. If you do not agree to these terms, you must not use the platform.

1. Platform Overview & No Investment Disclaimer

UniGrat is a commerce infrastructure platform that enables businesses to fund rewards and sales incentives tied to real economic activity.

Important Disclaimers:

  • UniGrat does NOT offer investments, yields, returns, or income opportunities
  • Rewards are discretionary, non-guaranteed, and business-funded
  • Users are NOT required to recruit others to use UniGrat
  • Participation does NOT imply future earnings

2. Eligibility & Account Requirements

To use UniGrat, you must:

  • Be at least 18 years old
  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials

Consumer accounts (person) — Stripe purchase gate:

  • Full person-account access is tied to a completed UniGrat payment (for example a paid booking, shop order, or UniGrat Credit top-up) linked to your login email or user id. If you paid as a guest, sign in with the same email address used at checkout.
  • We do not cancel or discontinue person accounts because you did not earn rewards, affiliate commissions, or introducer discounts. Lack of reward activity is not grounds for automatic deletion.
  • After you have purchase-linked access, you may use Connect to generate affiliate booking links and may withdraw eligible rewards subject to verification, minimum balances, and payout rules below.
  • To use rewards to pay a bill or complete certain payouts, you must verify your email, phone, and two-factor authentication (2FA) where required.

Vendor accounts — subscription plan gate:

  • Vendors must select an active UniGrat vendor plan (see Section 14). When paid plans apply, plan fees are collected through Stripe (or as shown at checkout).
  • We do not cancel or discontinue vendor accounts solely because they did not earn affiliate commissions or did not fund customer reward discounts. Vendor access is governed by plan status, compliance, and the rules in Section 3 — not by reward or affiliate activity alone.

3. Vendor & Business Eligibility

Only businesses that operate legally and in compliance with applicable laws may use the platform as vendors. Businesses must be properly registered where registration is required by law in their jurisdiction(s).

  • UniGrat's right to investigate: UniGrat has the right to investigate any business on the platform to verify legality, registration, and compliance with these rules.
  • UniGrat's right to remove: UniGrat has the right to suspend or remove any business that conducts illegal activities or carries out activities not allowed by the government or relevant authorities in their jurisdiction.
  • Vendor profile approval: Vendor profiles must be approved by UniGrat before they are published and visible to users.

All businesses must comply with laws and regulations applicable to their industry and location. Activities not permitted by government or regulation are prohibited on the platform.

Vendor sub-accounts (team members): A vendor may have multiple users (team members) managing the same business. Only the account owner may change the business's VAT number and business registration number; team members cannot edit these fields. This ensures one legal entity per business and prevents misuse of shared credentials.

Vendor profile & publishing:

  • Submit your business profile for UniGrat approval before it is published to customers.
  • Complete verification (email, phone, 2FA) in Settings. Your profile is published only after verification and approval.
  • Inactive reward or affiliate settings do not by themselves end your vendor account; suspension or termination follows Section 11 (violations, fraud, non-payment, illegal business, etc.).

Vendor business sales payouts (bank transfer):

  • After orders are served and any applicable hold period, eligible business sales balances are paid in a weekly batch every Sunday.
  • UniGrat initiates SEPA payment to the verified business bank account on file — vendors do not submit individual payout requests in the dashboard.
  • Allow up to 3 business days for funds to arrive after UniGrat initiates the transfer.
  • A 1% platform fee applies to each business sales payout. Your registered payout account is shown in Settings with a masked IBAN.
  • Bank verification (€0.01 inbound transfer to UniGrat) is required before business sales can be paid out.

4. Rewards System

Pending Status: All rewards start in Pending status. This means:

  • The reward is recorded but no entitlement exists yet
  • No payment has been made
  • The vendor is not yet billed
  • Rewards may be cancelled during the confirmation window

7-Day Review Period: Both vendors and users have 7 calendar days to:

  • Confirm delivery of service or product
  • Cancel or dispute pending rewards
  • Provide proof if requested

Lock-In on Day 8: After 7 days, pending amounts become billable to vendors and rewards are finalized.

5. Loyalty Rewards

Loyalty rewards are granted by businesses to customers for engagement, repeat usage, or continued relationship.

  • May be issued as credits, discounts, or internal balances
  • Loyalty rewards may NOT be redeemable for cash unless explicitly stated
  • Are business-funded incentives, not payment instruments

6. Sales Rewards (Introduction Rewards)

Sales rewards are granted for successful introductions that result in verified attendance, engagement, or transactions.

  • Sales rewards are NOT paid for invitations alone
  • All sales rewards are subject to verification and audit
  • Are performance-based, not automatic

7. Network Reward Sharing (15%)

If you are connected to a referral network, 15% of all rewards is automatically allocated to your network uplines. This rule:

  • Only applies if you have upline referrers (those who introduced you)
  • If you have no upline referrers, you keep 100% of your rewards
  • If you have upline referrers, applies in all cases, including when vendors also pay sales rewards
  • Cannot be opted out of when uplines exist
  • Is calculated before any other distributions

Example: If you earn a $10 reward and have upline referrers, $1.50 (15%) is shared with your uplines and you keep $8.50. If you have no upline referrers, you keep the full $10.00.

8. Cross-Referral Introductions

When generating a QR code for a vendor transaction, you may declare which introducer referred you to that specific vendor. This referral relationship:

  • Must be declared before your first transaction with that vendor
  • Can only be declared for UniGrat users who are registered introducers
  • Is locked after first declaration and cannot be changed for that vendor
  • Is unique per vendor - you may have different referrers for different vendors
  • Vendors cannot refer their own business: The account owner and any team members linked to a vendor cannot be declared as the referrer for that vendor. Cross-referral rewards are for third-party introducers only; this prevents self-reward and team-reward for the same business.

First-Declared Rule: If you've already transacted with a vendor, you cannot declare a new referrer. Only the first introducer declared for a specific vendor will receive referral rewards.

9. Minimum Threshold & Use of Rewards

Rewards may be used only after reaching $10 minimum balance.

Important - Rewards Are NOT Cash:

  • Rewards are NOT cash and NOT e-money
  • Rewards are NOT a bank balance
  • Rewards are limited-use credits for specific services only
  • May only be used to pay essential bills
  • Require submission of an invoice ID
  • May only be paid to UniGrat-whitelisted companies

10. Prohibited Activities

You agree not to:

  • Engage in fraud, abuse, or manipulation of the rewards system
  • Create self-referrals or use bots to generate rewards
  • Violate any applicable laws or regulations
  • Interfere with the platform's operation or security
  • Share your account credentials with others
  • Engage in artificial engagement or fake transactions
  • Operate or represent an illegal or unregistered business on the platform, or use another business's VAT or registration details without authorisation

11. Account Suspension & Termination

UniGrat-Initiated Suspension: UniGrat reserves the right to suspend or terminate your account if:

  • You violate these Terms & Conditions
  • Fraud or abuse is detected
  • You fail to complete required verification
  • You engage in prohibited activities
  • Misrepresentation or artificial engagement is suspected
  • You operate as or represent an illegal or unregistered business, or conduct activities not permitted by government or law (see Section 3)

Important: Rewards are NOT owed until paid out. UniGrat may suspend accounts without payout if abuse is detected. Account suspension may result in loss of pending rewards and access to the platform.

User-Initiated Account Cancellation: You may cancel your account at any time, subject to the following requirements:

  • Your account balance must be $10 or less (withdraw or use remaining balance first)
  • You must have Two-Factor Authentication (2FA) enabled
  • You must verify cancellation with a valid 2FA code
  • You must confirm cancellation via email verification link

Account Cancellation Consequences:

  • All account data will be permanently deleted
  • All pending rewards will be forfeited
  • All transaction history will be removed
  • All network connections will be severed
  • This action is irreversible

12. Communications & Notifications

By using UniGrat, you agree to receive the following communications:

  • Weekly Summary Emails: Sent every Monday with your rewards activity, account balance, and important updates. Cannot be disabled while your account is active.
  • Security Alerts: Important security notifications including login from new devices, password changes, 2FA updates, and suspicious activity. Cannot be disabled for your protection.
  • Transaction Confirmations: Notifications about reward transactions, payments, and account changes.
  • Service Updates: Important platform updates, policy changes, and maintenance notifications.
  • Booking and contact verification (double opt-in): When a vendor marks your email to receive booking confirmations and reminders, we send a single confirmation email with a link. We only treat your email as verified and send further emails after you click that link (double opt-in). You may unsubscribe from that email without having a UniGrat account.

Note: To unsubscribe from all emails, you must cancel your account. See Section 11 for account cancellation requirements.

13. Platform Fees

UniGrat may deduct applicable fees before distribution, including:

  • Fixed platform fee: $0.25
  • Variable platform fee: 1%
  • Payment processing fees
  • Applicable VAT or sales taxes

Fees vary by jurisdiction and payment method. You will be notified of applicable fees before transactions are processed.

14. Vendor subscription plans

UniGrat offers three vendor plans, all of which grant the same feature access — vendor profile, services and pricing menu, customer booking flow, event tickets, the UniGrat kids book store, in-house rewards / affiliate commissions, and SMS alerts when customers pay. The plans differ only in the amount of media storage.

Included storage and target monthly price per plan:

  • UniGrat Vendor (50 GB): 50 GB of media storage — target price €5.00 / month (free during launch).
  • UniGrat Vendor (100 GB): 100 GB of media storage — target price €10.00 / month (free during launch).
  • UniGrat Vendor (200 GB): 200 GB of media storage — target price €15.00 / month (free during launch).

Storage caps apply to files uploaded to your vendor profile (images, video, menu assets, etc.). A soft warning is shown when 90 % of the cap is reached and new uploads are blocked at 100 %; files already stored remain accessible. Vendors may change plan at any time.

SMS is included on every plan so vendors receive alerts for customer payments and related booking confirmations sent through the UniGrat platform. Vendors may contact customers via their own phone at any time; platform SMS applies only to messages sent and received through UniGrat.

Some vendors may have been grandfathered on legacy plans (Free, Starter, Availability Only, Full Booking) during the platform's transition. Legacy vendors retain their feature access and will be migrated to one of the three new plans; they will not lose any entitlement as part of the migration.

15. No Guarantees

UniGrat does not guarantee that rewards will be earned, confirmed, or available for use. Rewards depend on vendor participation, confirmation, and payment. The platform acts as a neutral technology provider and does not arbitrate private disputes unless legally required.

16. Tax & Reporting

You are responsible for determining and paying any taxes that may apply to rewards or payouts in your jurisdiction.

  • UniGrat may report payouts where legally required
  • Rewards may be classified differently by jurisdiction
  • Consult a tax professional for guidance on your specific situation

17. Limitation of Liability

To the maximum extent permitted by law, UniGrat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

18. Changes to Terms

UniGrat reserves the right to modify these Terms & Conditions at any time. Material changes will be notified to users via email or platform notification. Continued use of the platform after changes constitutes acceptance of the modified terms.

19. Regulatory Classification (EU)

19.1 Not Electronic Money

Rewards issued on the UniGrat platform do NOT constitute "electronic money" as defined under Directive 2009/110/EC (the "E-Money Directive").

19.2 No Monetary Claim

Rewards do not represent a monetary value, stored value, or a claim against UniGrat or any third party and are not redeemable at par value.

19.3 Closed-Loop, Purpose-Limited Use

Rewards are usable only within a closed-loop system for specific, predefined purposes, namely the payment of essential bills or services offered by whitelisted companies approved by UniGrat.

19.4 No General Acceptance

Rewards are not generally accepted as a means of payment by the public and may not be used outside the UniGrat platform or with non-whitelisted entities.

19.5 No Issuance Against Funds

Rewards are not issued in exchange for funds paid by users and are not issued upon receipt of money for the purpose of enabling payment transactions.

19.6 Business-Funded Incentives

Rewards are issued as business-funded incentives and discounts, not as a payment instrument, electronic money, or stored value facility.

19.7 Cash Redemption Prohibition

Except as expressly permitted (UniGrat-owned or UniGrat-operated companies with cash payouts enabled), rewards may not be redeemed for cash or cash equivalents.

19.8 Regulatory Intent

Rewards are intended to operate as directed bill credits or discounts and not as electronic money, payment services, or financial instruments.

20. Governing Law

These Terms & Conditions are governed by and construed in accordance with applicable laws. Any disputes shall be resolved through appropriate legal channels.
