Rewarding Loyalty, Rewarding Sales

This document explains how rewards work on UniGrat. It is provided for clarity and transparency. In case of conflict, the UniGrat Terms & Conditions remain legally authoritative.

Vendors: Vendor eligibility and profile approval are governed by the Terms & Conditions and Vendor Agreement. Only vendors whose profiles have been approved by UniGrat may participate in the rewards system.

1. What Are UniGrat Rewards?

UniGrat rewards are business-funded credits provided as incentives for customer loyalty or verified sales-related actions.

Important - Rewards Are NOT Money:

  • Rewards are NOT money, NOT e-money, and NOT a bank balance
  • They are limited-use credits that can only be applied to specific services within UniGrat
  • Subject to expiration, limits, or other conditions depending on the issuing business
  • Rewards are discretionary and subject to verification

2. When Rewards Are Created

Rewards are created when:

  • A user generates a UniGrat QR code for a vendor, or
  • A user scans or connects with a vendor through UniGrat

By doing so, all parties agree to participate in the UniGrat reward system.

Participation is voluntary but binding once initiated.

3. Pending vs Confirmed Rewards

Pending Rewards

All rewards start in Pending status.

Pending means:

  • The reward is recorded
  • No entitlement exists yet
  • No payment has been made
  • The vendor is not yet billed

Pending rewards may be cancelled during the confirmation window.

Confirmed Rewards

Rewards become Confirmed only after:

  • The vendor confirms the service or product was delivered
  • The vendor pays the applicable reward cost
  • The seven-day confirmation window expires without cancellation

Only confirmed rewards may be used.

4. Account Rules & Verification

Consumer accounts (person): You must earn at least one reward within 7 days of registration or your account may be cancelled and deleted (we do not send a reminder). To use rewards to pay a bill, you must verify your email, phone, and two-factor authentication (2FA) first.

Vendor accounts: You must apply for publishing within 14 days of registration or your account may be deleted without notice. After your profile is approved, complete verification (email, phone, 2FA) in Settings; your profile is published only after verification. Once published, you have 14 days to earn or reward other users.

5. Seven-Day Confirmation Window

Both vendors and users have 7 calendar days to:

  • Confirm delivery of service or product
  • Confirm quality of service
  • Cancel or dispute pending rewards
  • Provide proof if requested

During this period:

  • All rewards remain pending
  • Vendors are not billed

6. Lock-In on Day Eight (8)

On Day 8:

  • Vendors can no longer cancel pending rewards
  • Pending amounts become billable to the vendor
  • Rewards are finalized

After lock-in, calculations are final.

7. Vendor-Controlled Reward Amounts

Vendors decide:

  • Whether rewards or sales rewards are offered
  • How much is allocated to rewards and/or introducers
  • Whether a custom distribution applies

If no custom model is specified, UniGrat's default model applies.

8. UniGrat Fees & Deductions

Before distribution, UniGrat deducts applicable fees, which may include:

  • Fixed platform fee: $0.25
  • Variable platform fee: 1%
  • Payment processing fees
  • Applicable VAT or sales taxes

Fees vary by jurisdiction and payment method.

9. Network Reward Sharing (15%)

When you earn rewards (loyalty credits), the minimum reward is $1.50. The allocation rules depend on whether you are connected to a referral network:

  • If you have upline referrers: 15% of your rewards is automatically allocated to your upline referrers (those who introduced you)
  • If you have no upline referrers: You keep 100% of your rewards (no allocation deducted)
  • When uplines exist, this applies in all cases, including when vendors also pay sales rewards
  • This rule cannot be opted out of when uplines exist

Example: If you earn a $10 reward and have upline referrers, $1.50 (15%) is shared with your uplines and you keep $8.50. If you have no upline referrers, you keep the full $10.00.

10. Sales Reward Distribution

If a vendor provides a separate sales reward (introduction reward), it is distributed after UniGrat fees (including VAT) are deducted. Fees include:

  • Service charge: €0.25 per transaction
  • Platform fee: 1% of transaction amount
  • Transfer fee: €0.25 to collect from vendors via third-party payment processors (e.g., Mollie, Stripe)
  • Applicable VAT on all fees

After fees (including VAT) are deducted, sales rewards are distributed as follows:

  • If you have no upline referrers: You receive 100% of the reward
  • If you have upline referrers: Reward is split across tiers:
    • Tier 1 (Direct referrer): 20%
    • Tier 2 (Referrer's upline): 20% (if exists)
    • Tier 3 (Tier 2's upline): 60% (if exists)
  • If Tier 2 upline doesn't exist, Tier 1 receives 100%
  • If Tier 3 upline doesn't exist, Tier 2 receives the remaining 80% (20% + 60%)

Distribution is limited to a maximum of two (2) uplines.

11. Cross-Referral Declarations

When generating a QR code for a vendor transaction, you may declare which introducer referred you to that specific vendor. This allows the referring introducer to receive rewards when you shop with that vendor.

Declaration Requirements

  • Referrer must be declared before your first transaction with that vendor
  • Referrer must be a registered UniGrat user and introducer
  • Declaration is made when generating your QR code for that vendor
  • Once declared, the referral relationship is locked and cannot be changed

First-Transaction Rule

If you have already transacted with a vendor (even without a declared referrer), you cannot declare a referrer retroactively. Referrals can only be declared before your first transaction with each vendor.

No self- or team-referral for vendors

The account owner and any team members linked to a vendor cannot be declared as the referrer for that vendor. Cross-referral is for third-party introducers only. This prevents vendors (or their team) from earning referral rewards on their own business.

Duplicate Referral Prevention

If multiple introducers refer you to the same vendor, only the first-declared referrer receives direct rewards. This prevents duplicate claims and ensures fair attribution.

12. Minimum Threshold & Use of Rewards

Rewards may be used only after reaching $10 minimum balance.

Rewards:

  • Are NOT cash and NOT e-money
  • Cannot be withdrawn
  • May only be used to pay essential bills
  • Require submission of an invoice ID
  • May only be paid to UniGrat-whitelisted companies

13. Payout Policy

Phase 1: Internal Ledger

Rewards may accrue as internal balances. No withdrawal or cash redemption is guaranteed.

Phase 2: UniGrat-Owned Business Payouts

Cash payouts may be enabled only for rewards generated by UniGrat-owned or UniGrat-operated businesses. Payouts are treated as business expenses, not financial returns.

Phase 3: External Business Participation (Future)

External businesses may only enable payouts if: funds are pre-funded, compliance checks are completed, and UniGrat approval is granted.

14. Notifications & Records

Users and vendors receive:

  • Daily email confirmations of activity
  • Access to transaction records

Both parties may:

  • Review
  • Agree to
  • Cancel (within 7 days)
  • Download historical records as evidence

Records are locked after Day 8.

15. Why Rewards May Never Confirm

Rewards may remain pending or be cancelled if:

  • Vendor cancels within 7 days
  • Vendor does not pay
  • User fails verification requirements
  • Fraud or abuse is detected
  • Activity is invalid or disputed

UniGrat does not guarantee rewards. Rewards are discretionary and may be adjusted or revoked if misuse or error is detected.

16. Platform Neutrality

UniGrat:

  • Acts as a neutral technology platform
  • Maintains authoritative system records
  • Does not arbitrate private disputes unless legally required

17. Final Authority

This Policy explains how rewards work. The UniGrat Terms & Conditions and Vendor Agreement remain legally binding.
